Biden Administration’s $3.5 Billion Purchase Agreement with Pfizer for International Vaccine Donation

On September 22, 2021, Knowledge Ecology International (KEI) obtained a copy of the $3.5 billion contract between the U.S. government and Pfizer to purchase 500 million doses of the Pfizer/BioNTech vaccine for international donation to low- and middle-income countries. The document (Contract No. W58P0521C0002) was provided to KEI by the Army in response to a Freedom of Information Act request.

The contract was executed by the Army Contracting Command on July 30, 2021. It states that Pfizer will “target” 200,000,000 doses of its vaccine for delivery by December 31, 2021 and 300,000,000 doses by June 30, 2022.

Non-Transparency

The Biden Administration redacted several terms in the contract, including the total number of doses that the USG plans to purchase for donation, the upper limit of the contract if the USG decides to exercise options, a term related to the government’s preference for domestic manufacturing, and a term titled “Excusable Delays Due to COVID-19.”

Pricing

The agreement contains a term on pricing that is nearly identical to a term in a $10 billion purchase agreement between Pfizer and the USG for 500,000 million doses of the Pfizer vaccine for U.S. residents. It states as follows:

Government Program Pricing

The price per dose in this contract is specific to this contract only. This price shall not serve as the basis for pricing under any separate government contracts between Pfizer and USAID, the Department of Defense, or any other Department or agency of the Government by application of most favored customer, most favored nation, or any other contract or program-specific terms.”

Manufacturing

Pages 28 and 29 of the contract list detailed vaccine manufacturing information that Pfizer must submit to the USG. Access to such technical data could be used to enable third parties to manufacture the Pfizer/BioNTech vaccine, which is based on mRNA technology.

Pfizer’s original vaccine manufacturing contract with the USG used a loophole known as an Other Transaction Agreement (OTA) to sidestep the technical data rights that are obtained by the government when it enters into a standard contract. The OTA provides the government a license to use technical data related to the Pfizer/BioNTech vaccine “but solely to the extent necessary for the Government to perform its obligations under this Agreement and arrange administration of the doses delivered in accordance with FDA and other applicable regulations,” a provision that narrows the government’s rights and limits its ability to expand global vaccine manufacturing capacity.

$10 billion US-Pfizer COVID-19 Contract Includes Provision That Allows Pfizer to Charge More in the Future

The $10 billion contract between the U.S. government and Pfizer to purchase 500 million doses of the Pfizer COVID-19 vaccine contains a clause indicating that the $20 per dose price may be a floor and not a ceiling going forward.

The contract (No. W15QKN-21-C-0012) was awarded by the Army in December of 2020. It provides Pfizer with $10,016,418,500 to purchase 500 million doses of the Pfizer vaccine, at roughly $20 per dose. The last round of doses is set to be delivered by April 30, 2022. Since the Pfizer vaccine requires two doses, this contract does not cover booster shots. But back when the contract was signed, Pfizer may have been thinking about the potential profitability of boosters, when it included the following term:

Government Program Pricing

The price per dose in this contract was established per Operation Warp Speed and in light of the COVID-19 pandemic, and thus is specific to this contract only. This price shall not serve as the basis for pricing under any separate government contracts between Pfizer and HHS, the Department of Defense, or any other Department or agency of the Government by application of most favored customer, most favored nation, or any other contract or program-specific terms.

Knowledge Ecology International (KEI) has reviewed approximately 315 contracts or contract amendments entered into by the USG related to COVID-19. We have not seen a contractual term on pricing similar to the one in this Pfizer contract, although many of the contracts are so heavily redacted that there is still much to learn.

In fact, as KEI has previously reported, several of the agreements contain a most favored nation or customer clause making the purchase price a ceiling, by preventing the contractors from charging the USG more than they charge other countries or customers for the resulting COVID-related products.

Pfizer’s most recent 10(q) filing with the SEC forecasts that the Pfizer vaccine will earn $33.5 billion in revenues in 2021 alone.

Pfizer is capable of charging far lower than $20 a dose for its vaccine. The USG has also entered into a contract with Pfizer to purchase 500 million doses of its vaccine for international donation, and the Biden Administration is reportedly in talks to purchase another 500 million. The initial international donation purchase agreement, Contract No. W58P05-21-C-0002, was awarded on July 30, 2021 by the Army. The government paid $3.5 billion, or $7 a dose, the price that Pfizer considers “not-for-profit” but that is probably considerably higher than the actual costs of manufacturing. KEI has not yet obtained a copy of the agreement, but a DOD notice announcing the agreement states that Pfizer will deliver the doses by the end of 2022.

ScoMo Assures Australia That We Won’t Open Up Till Jen And The Girls Are Fully Vaccinated

Prime Minister for Sydney Scott Morrison has moved to assure the Nation that he won’t open everything up until Jen and the Girls are fully vaccinated.

”I know a lot of Australians are concerned that at the moment the Girls aren’t vaccinated and Jen has only had the Astra Zeneca,” said the PM. ”But, rest assured I will not take any risks like opening borders or Bunnings until the girls are fully vaccinated.”

”As we speak, I have little Greggy Hunt looking at sourcing some vaccines from rural West Australia to get the Girls jabbed and ready to travel.”

When asked why he was prioritising his family’s vaccination over the rest of the community, the PM said: ”I reject the premise of your question.”

”In Australia we’re all equal, just some of us are a little bit more equal than others.”

”Besides, it’s not a race. Jen didn’t book us to travel to Hawaii till November.”

”Now, if you’ll excuse me, I need to see if I can source some vaccination for the cleaning crew of Engadine Maccas. After all it’s the least I can do.”

NSW Premier and Australia’s ruby standard when it comes to handling the Covid crisis Gladys Berejiklian has demanded that problem gamblers be prioritised for vaccination ASAP.

”We need to get the State up and running and to do that we need people in RSL’s gambling,” said the Premier. ”I mean, do you think toll roads pay for themselves?”

”Come on NSW, get the jab and get gambling.”

When asked why the State seemingly had an obsession with gambling revenue, the Premier said: ”It’s not an obsession I can quit anytime I want.”

”It’s just that gambling revenue, when it’s up let’s me buy nice shiny things that I can eventually sell off to the private sector.”

”Now, if you’ll excuse me, I have to head off to the vaccination centre at Homebush to drive the freshly vaccinated to Rooty Hill RSL.”

The Australian Federal Police (AFP) have been called in to investigate the Prime Minister Scott Morrison’s disappearance after the PM has gone a whole day without posting a photo of himself onto social media.

”We are concerned that the PM hasn’t posted in 48 hours,” said a Spokesperson for the AFP. ”We know he is isolating at the Lodge, however he is doing so with a team of photographers.”

”At this stage we will check his internet connectivity, hopefully it’s just an NBN issue.”

When reached for comment over the PM’s well being his office was elusive, with a Spokesperson saying: ”We have no comment at this stage on the PM. However, if he were here I’m sure he would reject the premise of your question.”

”Now, if you’ll excuse me, we need to somehow have to figure out how to get a plane, a train and an automobile into the lodge for a photoshoot or ten.”

Australian Prime Minister Scotty from Hillsong’s marketing department has asked his colleague little Danny Tehan to get on the blower and have a chat with the local bikie gangs about scoring up a couple of million doses of vaccine.

Australian Prime Minister Scotty from Hillsong’s marketing department has moved to reassure angry and anxious Australians that whilst the Nation may be short of vaccines the country is overflowing with thoughts and prayers.

”I know people are a bit frustrated at the moment, no need to tell me, heck I’m stuck in a lockdown myself,” said the PM. ”But, we need to stay strong and focus, not on how Gladys let this spread or Dan went missing in action but focus on how your PM, me ScoMo, is here for you with thoughts and prayers.

When asked why he is seems to place blame on everyone else rather than accept any for himself, the PM said: ”I reject the premise of your question.”

”We are in a pandemic, a time when leaders like Gladys and Dan really need to step up.”

”Don’t look at me, it’s not like I hold syringe.”

Australian Prime Minister Scotty-from-Hillsong’s marketing department has declared that there is no need for the country to rush it’s vaccination rollout as both he and his mum have already had their jabs.

”I know Australians are keen to get out there and get jabbed, but just ease the horses a bit, we’ll get there,” said the PM. ”Besides, I’ve had mine as has my mum, so no need to rush.”

”Well, we do need to get our athletes jabbed up, but after that we can wait a few years to get those who don’t live in Liberal-voting electorates vaccinated.”

When asked why the Australian people should tolerate the vaccination delays, the PM said: ”I reject the premise of your question.”
